End-User License Agreement (EULA)
Effective to date.
This End-User License Agreement ("Agreement") is a legal contract between you ("User") and Success Options, Inc ("Company") for the use of the [Content Management System Name] ("CMS"), including any associated media, printed materials, and online or electronic documentation (collectively, the "Software"). By accessing or using the Software, you agree to be bound by the terms of this Agreement. If you disagree with these terms, do not use the Software.
1. License Grant Success Options, Inc. grants the User a non-exclusive, non-transferable, revocable license to access and use the Software strictly in accordance with the terms of this Agreement.
2. Permitted Uses: The Software is licensed, not sold, for the following purposes:

To create, edit, and manage digital content.

To integrate third-party tools as authorized by the Software.

To perform other functions explicitly outlined in the Software’s documentation.
3. Restrictions The User agrees not to:

Copy, modify, distribute, or create derivative works of the Software.

Reverse engineer, decompile or disassemble the Software, except as expressly permitted by law.

Rent, lease, sublicense, or transfer the Software to any third party.

Use the Software in a manner that violates any applicable law or regulation.
4. Ownership Success Options, Inc. owns all rights, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not convey any ownership rights to the User.
5. User Data: The User retains all rights to their content and data managed through the Software. Success Options, Inc. will take reasonable measures to protect such data but is not responsible for data loss resulting from User actions or third-party actions.
6. Updates and Support Success Options, Inc. may provide updates, upgrades, or fixes to the Software at its sole discretion. These updates may be subject to additional terms and conditions.
7. Term and Termination: This Agreement is effective until terminated. Success Options, Inc. may terminate this Agreement if the User fails to comply with its terms. Upon termination, the User must cease all use of the Software and destroy all copies in their possession.
8. Disclaimer of Warranties: The Software is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability In no event shall Success Options, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages or for loss of profits or revenues arising from or related to the use of the Software, even if advised of the possibility of such damages.
10. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.
11. Dispute Resolution Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI), and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.
12. Amendments Success Options, Inc. reserves the right to modify this Agreement at any time. The User will be notified of any significant changes, and continued use of the Software constitutes acceptance of the modified Agreement.
13. Entire Agreement This Agreement constitutes the entire agreement between the User and Success Options, Inc. regarding the Software and supersedes all prior or contemporaneous understandings, agreements, or representations.
